The company has developed worldwide distribution channels where the label’s artists get exposure around the world. Artists provide Company with master recording files. Company may remix but generally does not. Once Company has determined what songs will go on CD and in which order Company puts the whole package together from artwork to final hard copy CDs and MP3 files for electronic distribution. The two owners spend less than 2 days per month in running this business. This is a problem since annual revenues and cash flow have continued to decline resulting from their lack of interest and development of this company. With some TLC, adding artists, and desire to grow the company backed by hard work the company could easily increase its revenue base and cash flow quickly. Perhaps as quickly as 12 months since the distribution channels are in place and the demand for more music is high. The supply of new music comes from existing artists under contract or from new artist’s submissions. Owners say there is more music than they could ever use in their genre. This is a simple business to run. The owners are available for extended support if needed and wanted by a Buyer. Personal introductions to the people running the distribution channels are included as are introductions to the artists. The style of the music is “chill”. The term "Chill out music", as well as the genre itself, originated in chill rooms that were set up by DJs off to the edge of club dance floors to give patrons a chance to take a break from the hectic dance vibe and chill out with this style of music. Chill out as a musical genre or descriptive is synonymous with the more recently popularized terms "smooth electronica" and "soft techno" and is a loose genre of music blurring into several other very distinct styles of electronic and lo-fi music. This Indie (independent) record company is in a growth stage with a number of artists under contract to continue producing music. Currently in distribution are 20 albums (collections of songs by an artist) available in CD format from retail outlets such as Barnes and Noble, and Borders Books; and in digital format, distributed by CD Baby® and iTunes® and hundreds of other internet music services. The music is widely distributed throughout the United States and in 20 countries around the world. The owners of the company have produced compilation albums as well as collections by single artists and bands. With 20 CDs in distribution, there are Two additional finished albums ready for distribution, and 8 to 10 additional albums yet to be recorded are due from the various artists under contract. Books, records, tax returns are all in excellent shape and will be made available to a prospective buyer after an acceptable offer has been accepted but before opening escrow as a condition of the purchase. The sellers have moved on to their primary careers and no longer find the business interesting. They spend a few hours each week meeting to discuss the current status of the business. They have undertaken no new projects, and have been chillin for about 2 years releasing only two new albums in 2009. Revenues have declined during the period but seller’s discretionary earnings (SDE) increased significantly in 2007 and declined in 2008 since this is a business loaded with front-end expenses.
