The Sale Of The Company Is Being Structured As A Sale Of The Llc And Not An Asset Sale. The Company Currently Controls 4 Blocks Of Legacy Ip Addresses. These Four Legacy Blocks Consist Of 325,000 Unique Addresses. Under Current Regulation The Blocks Of Legacy Ip Addresses Are Not Saleable By Themselves And Must Remain With The Company To Whom They Were Assigned. Because Of The Value Of These Addresses To The Company It Would Not Be In The Best Interests Of Either The Buyer Or Seller To Structure This As An Asset Sale. The Seller Is Willing To Indemnify The Buyer Against Any Liability Issues Prior To The Sale Of The Company.
Under The Current Internet Structure There Are Currently 4.3 Billion Ip Addresses. Currently All But Approximately 60 Million Are In Use And At The Current Rate Of Usage These Will Be Exhausted Within The Next Two To Three Years. Because Of The Current Rate Of Usage The Blocks Of 325,000 Addresses Currently Controlled By The Company Are In High Demand.
The Company Operates Virtually And Has No Real Estate Or Lease Expenses.
