1. Purpose and Scope
This Content Posting Policy ("Policy") constitutes a legal contract between you (“Advertiser”, “Broker”, “Seller”, “Buyer”, or “User”) and BizBen, Inc. (“Company”) and governs your use of the Company's services and its online platform, BizBen.com (“Platform”). By submitting, posting, publishing, or maintaining content on the Platform and accessing or using the Company's Platform or services, you agree to be legally bound by all terms of the Policy, as modified by the Company from time to time at its sole discretion and posted here. Failure to comply may result in suspension or termination of posting privileges and/or account access.
2. Representations and Warranties
You are responsible for any text, images, photos, audio, video, and all other forms of data or communication that you submit or transmit to, through, or in connection with the Company's Platform for your business (“Your Content”). By posting Your Content and using the Company's services and Platform, you represent and warrant that you are at least 18 years old; you have the authority to provide and use Your Content, whether you are the business owner, agent, broker, or prospective buyer; you use the Platform for lawful business purposes only; you assume all risks associated with Your Content and its use on the Platform.
3. Review and Approval Process
Your Content is subject to review, moderation, screening, approval, removal, or reinstatement, at the Company's sole discretion, without notice, by a qualified human editor for compliance with this Policy and to maintain the integrity of the Platform. As such, you hereby irrevocably grant us world-wide, perpetual, non-exclusive, royalty-free, assignable, and transferable right to use Your Content for any purpose. The Company does not use automated bots or AI-only systems for final approval. Processing and review may take up to twenty-four (24) hours.
4. Permissible Posting Types
The following types of listings are permitted on the Platform:
- Established businesses for sale located in the United States (with or without real estate);
- Buyer “wanted to buy” postings for U.S.-based businesses;
- Franchise resales;
- New franchise offerings by registered franchisors;
- Verified business opportunities and licensed business models.
5. Prohibited Posting Types
The following are expressly prohibited:
- Lease-only opportunities;
- Airbnb-type, rental-based, investment-based, or partnership-seeking listings;
- Duplicate submissions of the same business by multiple agents or offices.
Postings in violation of this section will be removed without notice.
6. Posting Maintenance Requirements
- All postings must be edited at least once every ninety (90) calendar days. Postings not edited during this period will be automatically inactivated.
- For optimal performance and search visibility, Advertisers are encouraged to update postings every thirty (30) days.
- Any changes to the business type or location must be submitted as a new posting. Modification of existing listings to reflect a new business category or region is strictly prohibited.
7. Content Requirements
Each listing must meet the following minimum content standards:
- A minimum of one hundred fifty (150) characters in both the Short Profile and Long Profile;
- Consistency of information between profile sections;
- Proper spelling, punctuation, and grammar;
- Use of English only — foreign language text is not permitted;
- Avoidance of excessive capitalization (e.g., ALL CAPS).
In any event, Your Content must not contain any material that is false, misleading, offensive, harmful, inaccurate, deceptive, confusing, unlawful, defamatory, discriminatory, violent, threatening, abusive, hateful, harassing, hacking, repetitive, confidential, illegal, or otherwise inappropriate or in violation of any third-party rights.
The Company does not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of Your Content and assumes no responsibility for it. The Company reserves the right to remove, suspend or permanently Your Content which violates this Policy or diminishes the integrity of the Platform.
8. Prohibition on Contact Information in Descriptive Fields
Contact information — including names, telephone numbers, email addresses, URLs, or HTML code — shall not be placed within descriptive content fields such as the Short Profile or Long Profile. All contact details must be submitted exclusively in designated system fields.
9. Photo and Video Media Guidelines
- All media content uploaded by the Advertiser, Broker, or Seller must be relevant, authentic photographs or videos of the actual business being listed (interior or exterior). Logos, artwork, internet images, or stock photos are prohibited.
- Effective 2025, short video walkthroughs of the business are permitted on the Platform. Such videos may not contain personally identifiable images of customers or employees. AI-enhanced video content is acceptable provided it does not materially misrepresent the business.
- The Advertiser or Broker warrants that they hold the legal rights to all uploaded media content as the agent for the owners of the business being listed. You must not use any media content depicting violence, drug use, nudity, near nudity, or suggestive acts—even if those images are an accurate representation of the business's services or products
- Copyright Notice: By submitting or uploading any photos, images, videos, or other media content on the Platform, you warrant that you have the legal rights to do so and such content does not infringe upon the rights of any third party. You shall bear full civil and criminal liability for any infringement of third-party rights (including but limited to copyrights) arising from such content, and you agree to indemnify the Company from any claims arising from copyright or other right infringement.
10. AI Use Disclosure
AI-generated content may be used during the drafting of listings; however, all final content submitted to the Platform must be reviewed and approved by a human broker, agent, or seller. Listings composed entirely by AI without human oversight will be rejected.
11. SEO Optimization and Ranking
The Company reserves the right to prioritize or deprioritize postings in platform rankings based on adherence to search engine optimization (SEO) best practices, including but not limited to:
- Keyword clarity;
- Accurate location tagging;
- Proper categorization;
- Frequency of updates.
Optimization feedback may be provided to advertisers at the Company's discretion.
12. Account and Office Listing Integrity
- Only one active posting per business opportunity is allowed.
- Brokerages with multiple agents must coordinate listings to ensure no duplication.
- Shared logins, reposting of identical listings by multiple agents, or any form of coordinated duplication is strictly prohibited and subject to enforcement.
13. In Escrow, Inactive, Off-Market, or Sold Listings
Advertisers are required to inactivate any listing that is no longer active, available for sale, or on the market. Deleted listings cannot be recovered. Inactivated listings may be reactivated by the Advertiser at any time through their account dashboard.
14. Confidential Summary Field (New Feature)
A confidential summary field is available to allow brokers and sellers to highlight sensitive details for display to registered, NDA-compliant users only. Use of this field is optional but encouraged for qualifying listings.
15. NDA/Confidentiality Statements
If the Advertiser includes a confidentiality statement in the Long Profile field, they shall not include any personal or company contact information. Below are approved examples of confidentiality language. Use of alternative language is permitted only if compliant with this Policy.
(Refer to Appendix A for examples.)16. International Buyer Inquiries
Although only U.S.-based businesses may be posted, international buyers may inquire. Sellers are encouraged to indicate whether a business opportunity qualifies for U.S. investor visa programs (e.g., E-2, EB-5) where applicable.
17. Violations and Enforcement
Violations of this Policy may result in:
- Delayed publication;
- Posting removal;
- Written warnings;
- Temporary suspension of account privileges;
- Permanent deactivation for repeat or willful violations.
The Company reserves the right to interpret and enforce this Policy at its sole discretion.
18. Choice of Law; Dispute Resolution
This Policy shall be governed by and interpreted under California law, without regard to its conflict of law principles.
PLEASE NOTE: You and the Company agree to arbitrate all disputes or claims in connection with this Policy through binding arbitration in Santa Clara County, California, and to waive the right to a jury and class action, to the extent permitted by law.
