Architectural Sheet Metal Mfr. ('AMM'), a 40-year old company, manufactures custom architectural components for exterior applications for a variety of commercial buildings. Products are designed by architects and ordered by a variety of contractors, including glass companies. Most recent annual revenues were about $2 million with about 20% pre-tax net income, after shareholder compensation.
The Company purchases metal stock from distributors and its staff fabricates the items on a custom basis. About 90% of sales are from repeat customers. Products are manufactured for customers which require very stringent quality control, having to meet tight tolerances and reliable delivery times.
The operation is in the greater Los Angeles area but AMM also ships to out-of-state customers, using company vehicles and common carriers.
CUSTOMERS: About 300 customers, with no significant customer concentration. Most contractors are in California.
STAFF: AMM has recently been managed by key employees, some of whom have a long history of employment with the Company and in the industry. While AMM has recently been performing well, there is no staff dedicated to marketing and sales. AMM's manufacturing capabilities and the expertise of its staff suggest tremendous potential for expansion in numerous markets and for numerous categories of products. Management focus has been more on existing business relationships than in actively pursuing new clients or other markets. The sole shareholder is not involved on a day-to-day basis.
FACILITY: AMM occupies seller-owned facility which may be available for sale. AMM is well positioned to handle a much larger volume. Additionally, with a more professional sales staff, AMM can potentially develop proprietary products or at least standard products.
FINANCIAL OVERVIEW: Revenues are about $2.1 million. After reasonable adjustments to expenses, the owner's discretionary earnings are about $300,000. Inventory is about $65,000. Fixed assets at cost had a value of about $800,000. Receivables are less than 10% of revenues. AMM employs 10 people.
