In a bakery the fit-out is usually the single largest asset, and it is worth valuing separately from the cash flow. Deck and rack ovens, proofers, mixers, sheeters, walk-in refrigeration and the hood and fire-suppression system are all long-lived but expensive to replace, and a seller's asking price often assumes they have years left in them. Ask for the age and service history of each major piece, run the ovens and the refrigeration during the visit rather than taking their condition on trust, and price a replacement for anything past its expected life before you agree a number. Where the equipment is leased rather than owned, confirm what transfers and what does not — a lease that ends with the sale can turn an apparently equipped bakery into an empty room.
A California retail food permit is issued by the county environmental health department against the premises and the operator, so it does not simply pass to a buyer. Expect a change-of-ownership application and an inspection, and expect that inspection to be measured against current code rather than the code the kitchen was built to. Ask the county for the last two or three inspection reports before you commit; they are public, and they tell you what an inspector already thinks of the space.
