At this time, though the business is quite profitable and positioned for significant growth, its physical assets and certifications are valued as much or more than the cash flow (from a replacement vs commercial lender perspective). That said, after an uncontrollable and very unfortunate industry maintenance issue in 2023, 2024 and 2025 cash flow is catching up. Sellers are motivated but the business is growing, the fiscal reality is comfortable, and the future is bright. This is an established good business with a solid team in place. Regardless, the buyer will need to be well capitalized and/or have immediate experience and significant cash available for continued investment to grow.
Physical Assets to be sold together: Two owned R44 Helicopters and two R22…along with a 3 yr old full motion flight simulator – estimated value at $1,400,000. There is also a managed R44 currently flying and a managed Cabri pending overhaul since 11/25. The newly acquired leased Cessna 172 TAA is in the air and ready for a full schedule of flight training from Jan 2026.
FAA Part 135 (Charter Full certificate). The Part 135 Full Certificate is the highest level and enables flexibility like traveling interstate. Part 61/141 Flight School). Chief Pilot, Director of Operations and Director of Maintenance positions are required to maintain the full certificate. Part 91 LOA for air tours. SEVIS certification received effective 6/1/23 (student exchange visitor program which will enable company to issue i20 and M1 Visas). Zero accidents on record. 100% safety record. All processes and systems (including SMS safety) are fully documented. Training manuals exist for every role. No single employee “IS” the company. CEO/Chief Pilot owners have been largely absentee but will be available as needed part-time to assist transition. The CEO may be available after the sale in a part-time advisory capacity. The Director of Operations will assist with a transition, but there must be a clear path for complete exit in a reasonable timeframe.
Current Staff: Chief Pilot, Assistant Chief Instructor, Operations Manager, Assistant Ops, Front Desk Admin, 4 FT, 2 PT plus 2 new Fixed Wing Instructor/Pilots, 2 absentee owners (both Pilots). The critical gap you will need to fill is that of Director of Operations (DO). Currently the DO wishes to exit the business following a reasonable transition period.
